Terms of Service
Last updated:
These terms are the agreement between REXA OS, LLC ("we", "us") and the business or person that uses gr0.ai (the "Service", "you"). By creating an account, accepting an invitation or using the Service you agree to them. If you use the Service for an organization, you confirm you may bind it. If you and we have signed a separate order form or master agreement, that document wins wherever it differs from these terms.
The Service
gr0.ai is a customer relationship management and business operations system: contacts, leads, pipeline, email, text and voice, calendar, documents and e-signature, marketing, reporting and AI assistance. Some features connect to third-party services you choose (for example a phone carrier, an email mailbox, a payment processor, a bank connection or a calendar). We may improve, change or retire features; if a change materially reduces what you paid for, we will tell you in advance.
Accounts and access
- You must give accurate information and keep sign-in credentials safe. You are responsible for what happens under your organization's accounts.
- Your organization's administrators decide who has access and what each person can see and do. Tell us promptly at [email protected] if you suspect unauthorized use.
- The Service is for business use by people 18 or older.
Acceptable use
You agree not to, and not to let anyone:
- break the law or others' rights using the Service, or send content that is unlawful, deceptive, harassing or infringing;
- send email, texts or calls without the permission and notices the law requires (for example the CAN-SPAM Act, the TCPA, carrier rules and do-not-call lists). You are responsible for your lists, your consent records and your messages; the Service gives you tools for opt-outs and consent but does not make a message lawful;
- probe, scan or test the Service's security without our written permission, bypass limits or controls, or overload it;
- reverse engineer the Service, resell it without our agreement, or use it to build a competing product;
- upload malware, or data you have no right to use (for example government IDs or bank data of people who did not authorize you to collect them).
We may suspend an account or feature that puts people, the Service or our carrier and email standing at risk, and will tell you why when we can.
Text message terms
These terms apply to text messages sent through the Service, by a business that uses it or by us.
- The program. The business named on the sign-up page (for example at https://crm.gr0.ai/sms-opt-in/<business>) sends texts about your inquiry or account: replies to your questions, appointment reminders, updates on your request, and occasional offers. We send our own users account texts such as sign-in codes.
- Joining. You join by typing your mobile number and ticking the box on the sign-up page, then confirming it from that phone, or by agreeing in writing. A sign-up on the page is only a request until it is confirmed: the business sends one text asking you to reply YES, and you join when you reply YES to that text from that phone within 72 hours. If you do not reply, nothing more is sent for that request. Consent is not a condition of any purchase.
- How often and cost. Message frequency varies. Msg & data rates may apply.
- Stopping. Reply STOP to any message to stop texts from that business. We confirm with one message and send nothing more unless you join again (reply START).
- Help. Reply HELP, contact the business on its sign-up page, or email [email protected].
- Carriers are not liable for delayed or undelivered messages.
- No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties. See the Privacy Policy.
A business that texts through the Service must have the consent the law and carriers require and must honor STOP; see "Acceptable use".
Your data
- You own the information you put into the Service ("Customer Data"). You give us the right to host, process, transmit and display it only as needed to provide the Service to you, to keep it secure, and as the law requires.
- You are responsible for the lawfulness of Customer Data, for telling your own contacts how you use their information, and for answering their requests. We help you with tools for export, correction and erasure.
- How we handle personal information is described in our Privacy Policy. When we process personal data for you, we do so as your processor on your documented instructions; a data processing agreement is available on request at [email protected].
- We do not sell Customer Data and we do not use it to train AI models.
AI features
AI features produce drafts and suggestions that can be wrong. Review them before you rely on them or send them. A person, not the AI, makes decisions about approvals, credit, funding, hiring and anything with legal or similar significant effect on a person. You are responsible for how you use AI output. AI features work only within the permissions of the person using them.
Third-party services
Connected services (carriers, email providers, Google and Microsoft calendars, payment, bank, credit and identity providers, AI model providers) are governed by their own terms. We are not responsible for them, and their outages or rule changes can affect the Service. The sub-processors page lists the providers we use.
Fees and billing
Fees, usage charges and payment terms are those on your plan or order form. Fees are non-refundable except where the law or your order form says otherwise. Taxes are extra. If a payment fails we may restrict the account after notice. Third-party costs that pass through (for example carrier text charges) are billed as stated on your plan.
Our property and feedback
We own the Service, its software, designs and documentation, and the feedback you give us about it. These terms give you only a limited, non-exclusive, non-transferable right to use the Service during your term.
Confidentiality
Each of us will protect the other's non-public information with at least reasonable care, use it only for this agreement, and disclose it only to people and providers who need it and are bound to confidentiality, or as the law requires.
Term, closing and what happens to your data
You can close your organization at any time. We can end your access if you materially break these terms and do not fix it within 10 days of notice (or immediately for unlawful use or serious security risk), or if fees stay unpaid after notice.
After closing, your Customer Data is handled on this schedule:
| When | What happens |
|---|---|
| Days 0 to 30 | Download only. Your administrators can sign in to export your data. You cannot add or change data or use the other features. |
| After day 30 | We delete Customer Data from the live Service. |
| Up to 90 days after closing | An encrypted archive may remain for recovery and then is deleted. It is not used for anything else. |
| Legal evidence | Records the law requires us to keep (for example e-signature events, consent and credit authorization records, money ledgers and sanctions screenings) are kept until their legal retention period ends, then deleted. They hold identifiers rather than personal details wherever possible. |
| On your written request | We return your data to you or delete it sooner, as you choose, except records we are required to keep. |
Disclaimer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not provide legal, tax, accounting, credit or financial advice, and the Service does not make a message, a lending decision or a document compliant on its own.
Limit of liability
To the fullest extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims relating to the Service in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event. These limits do not apply to liability that cannot be limited by law, to your obligations to pay fees, or to your indemnity below.
Indemnity
You will defend and compensate us against third-party claims arising from Customer Data, from your messages to your contacts, or from your breach of these terms or the law, and we will do the same for claims that the Service itself infringes a third party's intellectual property rights, in each case with prompt notice and reasonable cooperation.
Governing law and disputes
These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The state and federal courts located in Palm Beach County, Florida, have exclusive jurisdiction, and each of us consents to them. Nothing here limits rights you have under mandatory consumer or data-protection law where you live.
General
- We may update these terms. We will tell you before a material change takes effect; using the Service after it takes effect means you accept it.
- If a part of these terms is unenforceable, the rest stays in force. Not enforcing a right is not giving it up. You may not assign these terms without our consent; we may assign them in a merger or sale of our business.
- Neither of us is liable for delay caused by events beyond reasonable control.
- These terms, the Privacy Policy and any order form are the whole agreement.
